NOMADDESK TERMS AND CONDITIONS OF SERVICE

These Terms and Conditions ("Terms") govern the access and utilization of the NomadDesk application (the "App") and ancillary services furnished by Nova Nomad LLC, a company based in Livingston, Texas, United States ("Nova Nomad," "we," "our," or "us").

 

By downloading, accessing, or otherwise using NomadDesk, you signify your unequivocal agreement to be bound by these Terms. Should you dissent from any provision herein, you are expressly prohibited from using the App.

 

1. Intended Users and Purpose

 

NomadDesk is specifically designed for the professional use of freelancers and solo developers for the express purpose of facilitating the organization of work-related notes, tasks, client information, and general business productivity workflows.

 

The responsibility for ascertaining the suitability of NomadDesk for your specific operational requirements and for ensuring compliance with all pertinent legal obligations rests solely with you.

 

2. Eligibility

 

To utilize the App, you must be a minimum of eighteen (18) years of age (or the age of legal majority in your jurisdiction) and possess the requisite legal capacity to enter into a binding agreement.

 

3. License and Acceptable Use

 

Subject to your full compliance with these Terms, Nova Nomad hereby grants you a limited, non-exclusive, non-transferable, and revocable license to utilize NomadDesk strictly for your personal or internal business purposes.

 

You formally covenant not to:

• Employ the App for any unlawful, fraudulent, or malicious activities;

• Endeavor to impede, disrupt, or compromise the functionality or security of the App;

• Reverse engineer, decompile, or disassemble the App, except to the extent such restriction is explicitly prohibited by applicable law;

• Copy, resell, rent, lease, sublicense, or commercially exploit the App beyond the permissions explicitly granted herein or by mandatory law.

4. User Content and Responsibility

 

You shall retain all proprietary rights to the data, notes, attachments, and other materials generated or stored by you utilizing NomadDesk ("User Content").

 

You assume sole responsibility for:

• The accuracy, legality, and operational reliability of your User Content;

• The diligent maintenance of backup copies of all critical business data;

• Ensuring that your usage of the App conforms to all contractual agreements, tax regulations, privacy laws, and other regulatory requirements applicable to your freelance or solo business operations.

5. Synchronization, Storage, and Third-Party Services

 

NomadDesk may leverage third-party platform services (including, but not limited to, Apple iCloud/CloudKit features) for the purpose of data synchronization and storage, dependent upon your device configuration.

 

You acknowledge and accept that:

• The availability and performance of any third-party services are beyond the control of Nova Nomad LLC;

• Data synchronization may experience intermittent delays, interruptions, or unavailability;

• You are responsible for the management of your device and account settings pertaining to data synchronization and storage.

7. Intellectual Property

 

NomadDesk, encompassing its design, branding, underlying software, and associated materials (excluding your User Content), is the exclusive property of Nova Nomad LLC and is protected by all applicable intellectual property laws.

 

No rights are conferred upon you other than the limited license explicitly set forth in these Terms.

 

8. No Professional Advice

 

NomadDesk provides organizational and productivity features exclusively. It does not furnish legal, tax, accounting, or financial advice.

 

You are advised to consult with qualified professionals for guidance specific to your business needs.

 

9. Disclaimer of Warranties

 

To the maximum extent permissible by law, the App is provided on an "AS IS" and "AS AVAILABLE" basis, devoid of warranties of any nature, whether express, implied, or statutory, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

 

Nova Nomad provides no guarantee of the uninterrupted, error-free, or completely secure operation of the App.

 

10. Limitation of Liability

 

To the fullest extent permitted by applicable law, Nova Nomad LLC, along with its officers, members, employees, and affiliates, shall not be held liable for any indirect, incidental, special, consequential, or punitive damages, including, without limitation, loss of profits, data, goodwill, or business opportunities, arising from or in connection with your use of the App.

 

Should liability be incapable of exclusion, Nova Nomad’s total cumulative liability for any claim arising out of or related to the App shall not exceed the amount paid by you (if any) for the App during the twelve (12) month period immediately preceding the event giving rise to the claim.

 

11. Indemnification

 

You hereby agree to defend, indemnify, and hold harmless Nova Nomad LLC from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

• Your utilization or improper use of the App;

• Your User Content;

• Your violation of these Terms or any applicable law.

12. Termination

 

We reserve the right to suspend or terminate your access to the App in the event of a material breach of these Terms.

 

You are free to discontinue the use of the App at any time. Provisions which, by their nature, are intended to survive termination (including, but not limited to, ownership rights, disclaimers, limitations of liability, and indemnification) shall remain in full force and effect.

 

13. Amendments to These Terms

 

We may unilaterally revise these Terms periodically. In the event of material changes, we shall endeavor to provide notice via the App, website, release notes, or other reasonable communication methods.

 

Your continued use of NomadDesk subsequent to the effective date of any updated Terms constitutes your acceptance of the revised Terms.

 

14. Governing Law and Dispute Resolution

 

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without recourse to its conflict of law principles.

 

Any dispute arising from or relating to these Terms or the App shall be exclusively litigated in the state or federal courts situated in Texas, and you hereby consent to the personal jurisdiction and venue of said courts.
